1. Services

ADWEB provides digital marketing services including but not limited to paid advertising management (Google Ads, Meta Ads), web development, content marketing, and social media management. The specific scope, deliverables, timelines, and fees for each engagement are outlined in a separate Service Agreement or Proposal signed between ADWEB and the client.

We reserve the right to refuse service to any individual or entity at our sole discretion, without liability or obligation to explain our decision.

2. Payment Terms

All fees are as agreed in the signed Service Agreement. Unless otherwise specified:

• Invoices are payable within 7 days of issuance.
• Monthly retainer fees are due at the beginning of each billing cycle.
• Ad spend budgets paid to platforms (Google, Meta, etc.) are separate from ADWEB's management fees and must be funded by the client directly or in advance.
• Late payments may incur a penalty of 2% per month on the outstanding amount.
• ADWEB reserves the right to pause or terminate services in the event of non-payment after reasonable notice.

3. Client Responsibilities

To enable us to deliver our services effectively, you agree to:

• Provide accurate, complete, and timely information, assets, and access (e.g., ad account access, website credentials) as requested.
• Review and approve content, creatives, and campaign materials within the agreed timelines. Delays in approval may affect campaign launch dates.
• Ensure that any content or products you provide do not infringe upon third-party intellectual property rights.
• Comply with all applicable laws and platform advertising policies for your business and industry.
• Designate a primary point of contact who is authorised to make decisions on your behalf.

4. Intellectual Property

Content We Create

Upon full payment of all outstanding fees, ADWEB assigns to the client the rights to all original creative work developed specifically for their campaigns (ad copy, graphics, website pages, blog articles). ADWEB retains the right to showcase this work in our portfolio and marketing materials unless otherwise agreed in writing.

Pre-existing Materials

Any tools, templates, methodologies, software, or frameworks developed by ADWEB prior to or independently of the engagement remain the sole property of ADWEB and are not transferred to the client.

Client Materials

You retain full ownership of all content, logos, brand assets, and materials you provide to us. By providing such materials, you grant ADWEB a non-exclusive licence to use them solely for the purpose of delivering the agreed services.

5. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes business strategies, financial data, customer information, and campaign performance data. This obligation survives the termination of the service agreement.

ADWEB will not share your campaign performance data, business information, or client details with any third party, except as required to deliver the services (e.g., sharing with platform representatives under NDA).

6. Performance & Results

ADWEB applies industry-best practices and deep expertise to all engagements. However, digital marketing results are influenced by many factors outside our control, including market conditions, platform algorithm changes, competitor activity, and ad spend levels.

ADWEB does not guarantee specific results such as a defined number of leads, sales, traffic, or return on ad spend. Any projections shared during the proposal phase are estimates based on historical data and are not contractual commitments.

7. Termination

Either party may terminate the service agreement by providing 30 days' written notice. Upon termination:

• All outstanding fees for work completed up to the termination date become immediately payable.
• ADWEB will provide a handover of all client-owned assets, account access, and relevant data within 14 days.
• ADWEB reserves the right to terminate immediately and without notice in cases of non-payment, breach of these Terms, or conduct that is unlawful, abusive, or harmful.

8. Limitation of Liability

To the fullest extent permitted by law, ADWEB's total liability to you for any claim arising from our services shall not exceed the total fees paid by you to ADWEB in the three (3) months preceding the claim.

ADWEB shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunity, even if advised of the possibility of such damages.

9. Website Use

You agree to use our website only for lawful purposes. You must not:

• Use the website in any way that breaches applicable local, national, or international laws or regulations.
• Transmit any unsolicited or unauthorised advertising or promotional material.
• Attempt to gain unauthorised access to any part of our website or systems.
• Reproduce, duplicate, or exploit any part of our website for commercial purposes without written permission.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Lucknow, Uttar Pradesh, India.

11. Changes to These Terms

ADWEB reserves the right to update these Terms at any time. Changes will be effective immediately upon posting to this page with an updated "Last updated" date. Continued use of our website or services after such changes constitutes your acceptance of the revised Terms.
